Terms & Conditions

These Terms & Conditions govern business inquiries, quotations, sample development, and manufacturing contracts initiated through Yizheng New Happy Crafts Co., Ltd. ("HappyPet Crafts", "the Manufacturer", "we", "us"). By requesting quotations or placing purchase orders, you ("the Buyer") agree to the terms below.

1. Quotations & Pricing

• All quotations provided by our export department are denominated in USD unless explicitly stated otherwise.
• Price quotes are typically valid for 30 calendar days due to raw material (nylon yarn, zinc alloy) and foreign exchange market fluctuations.
• Standard Incoterms supported include FOB Shanghai / Ningbo, CIF, and door-to-door DDP (Delivered Duty Paid).

2. Sampling & Pre-Production Approval

• Pre-production samples are produced following receipt of the buyer's technical brief and specifications.
• Standard sample turnaround is 3 to 7 business days for available materials.
• Mass production begins strictly after the buyer has provided written confirmation or physical sign-off on the approved pre-production sample.

3. Payment Terms

• Standard commercial payment terms: 30% T/T deposit upon purchase order confirmation and 70% balance prior to factory dispatch (or against bill of lading copy for established accounts).
• For sample orders, express freight and tooling costs may be paid via Wire Transfer or authorized corporate payment channels.
• Irrevocable Letters of Credit (L/C at sight) may be considered for large-volume container shipments upon mutual agreement.

4. Quality Assurance & Inspection

• Goods are manufactured in accordance with ISO 9001:2008 standards (Certificate No. 132583).
• Buyers are entitled to appoint accredited third-party inspection agencies (e.g. SGS, Intertek, Bureau Veritas) to inspect finished batches prior to balance payment and container loading.
• Any warranty claims regarding defective units must be documented and submitted within 30 days of shipment arrival at the destination port.

5. Intellectual Property & Trademarks

• The Buyer warrants that all logos, trademarks, and artwork submitted for custom printing or embroidery are owned by the Buyer or licensed with full legal authority.
• The Manufacturer agrees not to duplicate, sell, or showcase the Buyer's proprietary designs without prior written permission.

6. Governing Law

Commercial purchase contracts entered into between Yizheng New Happy Crafts Co., Ltd. and international buyers shall be interpreted and governed in accordance with international trade customs (INCOTERMS 2020) and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
